2. Description of Service

Flamingo CRM is a cloud-based customer relationship management platform designed for local service businesses. The Service includes tools for managing contacts, companies, deals, scheduling, invoicing, class bookings, space rentals, and other business operations. The Service is available as a web application and a mobile app for iOS and Android.

We may update, modify, or discontinue features of the Service at any time. We will provide reasonable notice of material changes that affect your use of the Service.

3. User Accounts & Responsibilities

To use the Service, you must create an account with accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access to your account
• Ensuring that your use of the Service complies with all applicable laws

Organizations (“tenants”) may invite users to join their account. Tenant administrators are responsible for managing user access and permissions within their organization.

4. Subscription & Billing

Access to the Service requires a paid subscription. Subscription plans, pricing, and features are described on our website and may be updated from time to time.

• Billing: Subscriptions are billed on a recurring basis (monthly or annually) through Stripe, our payment processor.
• Cancellation: You may cancel your subscription at any time. Access continues until the end of your current billing period.
• Refunds: Subscription fees are generally non-refundable. We may offer refunds at our discretion on a case-by-case basis.
• Price Changes: We will provide at least 30 days notice before any price increases take effect.

5. Data Ownership

You retain full ownership of all data you and your organization enter into the Service (“Your Data”), including contacts, companies, deals, invoices, bookings, and other business records.

• Your Data: Your Data belongs to your organization (tenant). We do not claim ownership of Your Data and will not access, use, or share it except as necessary to provide the Service or as described in our Privacy Policy.
• Data Portability: You may request an export of Your Data at any time by contacting us.
• Data Retention: We retain Your Data for as long as your subscription is active. Upon termination, Your Data will be retained for a reasonable period to allow for export, after which it may be deleted.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the rights of others, including intellectual property rights
• Transmit malicious code, viruses, or any harmful software
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any illegal, fraudulent, or deceptive purpose
• Resell, sublicense, or redistribute the Service without our written consent

We reserve the right to suspend or terminate your account if you violate these terms.

7. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is the property of Flamingo Labs LLC and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

You may not copy, modify, distribute, reverse engineer, or create derivative works based on the Service without our prior written consent.

8. Limitation of Liability

To the maximum extent permitted by law, Flamingo Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Termination & Suspension

Either party may terminate this agreement at any time:

• By You: You may cancel your subscription and stop using the Service at any time.
• By Us: We may suspend or terminate your access if you violate these Terms, fail to pay subscription fees, or if we reasonably believe your use poses a risk to the Service or other users.

Upon termination, your right to use the Service ceases immediately. We will retain Your Data for a reasonable period to allow for export. Sections of these Terms that by their nature should survive termination will remain in effect.

10. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Florida.
